Working Capital Is Part of the Price: Net Working Capital in SBA Acquisitions
PCA
September 1, 2026

Most buyers negotiate the multiple to the decimal and then hand the balance sheet back to the seller without noticing. The receivables, the inventory, the cushion the business actually runs on: whoever owns those on the morning after closing owns the next six months of cash flow.
Pioneer Capital Advisory has published a full interactive guide on the subject: Working Capital Is Part of the Price.
It covers why net working capital belongs inside the purchase price of a business, what the new SOP 50 10 8.1 allows and limits when working capital is financed in a 7(a) loan, and how the closing calendar can put the buyer of a seasonal business in a very difficult spot.
What is inside the guide
Three interactive tools. A net working capital calculator that shows what the buyer must fund on top of the price when the seller keeps the trading assets. A deal structure comparison that prices out borrowing replacement working capital for 10 years against draining savings to rebuild it. And a seasonal timing simulator that models 8 business types across 8 US markets, from lawn and irrigation work in the Upper Midwest to holiday retail in the Southeast, so a buyer can watch the first year cash trough move as the closing month changes.
The commentary comes from three places: the SOP text itself, cited down to the page; months of anonymized lender feedback on live deals; and patterns pulled from real Quality of Earnings reports in the firm's files, aggregated with nothing identifying any company, buyer, or transaction.
Among the rules the guide walks through: working capital financed in an acquisition loan carries a 10 year term, a loan that is half working capital or more needs a written justification in the credit memo, the equity injection waiver on business expansions locks permanent working capital out of the loan entirely, and a Seasonal CAPLine can fund the seasonal buildup but never the slow months.
